TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING OR USING VERDICTA'S PRODUCTS.By completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not purchase or use our products.1. PARTIES AND ACCEPTANCE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Verdicta ("Verdicta," "we," "us," or "our"), the operator of useverdicta.com and provider of decision framework products and related digital content.
By purchasing a subscription, accessing any product, or clicking "I agree" (or equivalent) during checkout, you accept these Terms in their entirety. If you are purchasing on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity.2. PRODUCTS AND SERVICES

Verdicta provides digital decision framework templates, scoring systems, and related documentation (collectively, "Products" or "Framework"). Products are delivered as structured templates via the Notion platform or other digital delivery formats. Access is provided by delivering a unique link or access credential to your registered email address.2.2 Decision Support Tool — Not Professional Advice
IMPORTANT: Verdicta's Products are decision support frameworks designed to assist your internal analysis and documentation processes. They are not and do not constitute:
• Legal advice or legal services
• Financial, investment, or accounting advice
• Business consulting or professional advisory services
• A guarantee, prediction, or warranty of any business outcome
• A substitute for professional judgment
Verdicta does not make business decisions for you. All decisions made using our Products remain entirely your responsibility. You are solely responsible for how you use our Products and for any business, financial, legal, or other outcomes resulting from your decisions.2.3 No Guarantee of Results
We provide our Products "as-is" without any warranty, representation, or guarantee that use of our Products will result in winning more clients, generating revenue, avoiding bad business outcomes, or achieving any specific business result. Business outcomes depend on countless factors outside our control and outside the scope of any decision framework.3. SUBSCRIPTION TERMS
────────────────────────────────────────────────────────────3.1 Subscription and Pricing
Verdicta offers Products on an annual subscription basis at the price displayed at checkout. All prices are in U.S. Dollars (USD) and are subject to change with reasonable notice for new subscription periods.3.2 Automatic Renewal
YOUR SUBSCRIPTION AUTOMATICALLY RENEWS ANNUALLY. Unless you cancel before your renewal date, your subscription will automatically renew for successive one-year periods at the then-current subscription price.
We will send a renewal reminder to your registered email address at least seven (7) days before your renewal date. You are responsible for monitoring your renewal date and canceling if you do not wish to renew. Failure to read or receive our renewal reminder does not excuse the renewal obligation.3.3 Cancellation
You may cancel your subscription at any time by:
• Logging into your account via the payment portal managed by our payment processor (Lemon Squeezy)
• Emailing [email protected] with your cancellation request
Cancellation takes effect at the end of your current subscription period. You retain access to the Product through the end of your paid period. Cancellation after your renewal date has processed does not entitle you to a refund of the renewal charge — see Section 5 (Refund Policy).3.4 Payment Processing
All payments are processed by Lemon Squeezy, which acts as the Merchant of Record for all transactions. By purchasing, you also agree to Lemon Squeezy's terms of service and privacy policy. Verdicta does not store or have access to your payment card information, banking credentials, or payment credentials of any kind.4. LICENSE GRANT AND RESTRICTIONS

Subject to your compliance with these Terms and payment of the applicable subscription fee, Verdicta grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Product solely for your internal business purposes during your active subscription period ("License").4.2 Scope of License
The License is granted to a single organization — meaning one legal entity or company. The following uses are permitted under the License:
• All employees, staff, and officers of the licensed organization may use the Product
• Contractors, freelancers, and consultants may use the Product solely when performing work directly on behalf of the licensed organization, and only during the period of their engagement4.3 Prohibited Uses
The following uses are expressly prohibited and constitute a material breach of these Terms:
• Sharing, distributing, or providing access to the Product to any person or entity outside the licensed organization, including clients, vendors, or partner companies
• Using the Product for or on behalf of more than one separate legal entity, even if related (e.g., subsidiaries, affiliates, or sister companies each require their own License)
• Reselling, sublicensing, or commercializing the Product or any derivative of it
• Incorporating the Product or any substantial portion of it into a product or service you offer to others
• Removing, altering, or obscuring any copyright, trademark, or proprietary notices in the Product
• Reverse engineering, decompiling, or attempting to extract the underlying methodology for purposes of competing with Verdicta
• Making the Product publicly available, posting it to any shared platform, or uploading it to any accessible repository4.4 Ownership
The Product, including all frameworks, scoring methodologies, templates, text, structure, and related intellectual property, is and remains the exclusive property of Verdicta. These Terms grant you a limited license only. No ownership rights are transferred by purchase or use.5. REFUND POLICY
────────────────────────────────────────────────────────────5.1 No Refunds After Delivery
ALL SALES ARE FINAL. Because our Products are digital goods delivered instantly upon purchase, we do not offer refunds once the Product has been delivered to you. Delivery is deemed to occur at the moment the access link or access credentials are sent to your registered email address, as recorded by our delivery systems ("Delivery"). This is true regardless of whether you have opened the email, duplicated the template, or used the Product.5.2 No Cooling-Off Period
You expressly acknowledge that, given the digital nature of the Product and the fact that full access is provided immediately upon Delivery, there is no cooling-off period, grace period, or trial period during which a refund may be requested.5.3 No Refunds for Auto-Renewals
Charges resulting from automatic subscription renewal are non-refundable. You are solely responsible for canceling your subscription before the renewal date if you do not wish to be charged. Renewal reminder emails are sent at least seven (7) days in advance as a courtesy; failure to cancel after receiving (or not receiving) such reminders does not entitle you to a refund.5.4 Limited Exceptions
We will issue a refund only in the following circumstances:
• Technical failure: Verdicta's systems failed to deliver the access link to your registered email address and you reported the issue to [email protected] within 7 days of purchase
• Duplicate or erroneous charge: You were charged more than once for the same subscription period due to a billing system error
• Billing system error: A verifiable processing error by Lemon Squeezy or our payment systems resulted in an incorrect charge
To request a refund under these exceptions, contact [email protected] with your order details. We will investigate and respond within 5 business days. Refunds, if approved, will be processed through Lemon Squeezy to the original payment method.5.5 Chargebacks
If you initiate a chargeback or payment dispute for a charge that does not fall within the limited exceptions in Section 5.4, we reserve the right to terminate your subscription, revoke your access to the Product, and dispute the chargeback with supporting evidence of delivery.6. DISCLAIMERS AND WARRANTIES

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDICTA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:
• ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• ANY WARRANTY THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT
• ANY WARRANTY THAT THE PRODUCT WILL BE ERROR-FREE, ACCURATE, COMPLETE, OR CURRENT
• ANY WARRANTY REGARDING THE OUTCOMES OF DECISIONS MADE USING THE PRODUCT6.2 Business Outcome Disclaimer
Verdicta makes no representation or warranty that use of our Products will result in improved business performance, increased revenue, avoidance of bad clients, prevention of financial loss, or any other business outcome. Decision frameworks provide structure for human judgment — they do not replace it, and results vary based on factors entirely outside our control.7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERDICTA, ITS OWNER, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY:
• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, OR ANTICIPATED SAVINGS
• LOSS OF GOODWILL OR REPUTATION
• BUSINESS INTERRUPTION OR LOST BUSINESS OPPORTUNITIES
• LOSSES ARISING FROM YOUR RELIANCE ON ANY DECISION MADE USING OUR PRODUCTS
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF VERDICTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.7.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDICTA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO VERDICTA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.7.3 Essential Basis
You acknowledge that the limitations of liability set forth in this Section reflect a reasonable allocation of risk, are an essential element of the basis of the bargain between you and Verdicta, and that Verdicta would not have provided the Products at the stated price absent such limitations.8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Verdicta, its owner, operators, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
• Your use of the Products
• Any business decision made using the Products
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any claim by a third party arising from your reliance on or application of the Products9. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.9.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at [email protected] to describe your dispute and attempt to resolve it informally. We will respond within 14 days and both parties agree to negotiate in good faith for at least thirty (30) days from the date of notice ("Negotiation Period"). If the dispute is not resolved during the Negotiation Period, either party may proceed to arbitration as set forth below.9.3 Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising from or related to these Terms, the Products, or our relationship shall be resolved by final, binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules in effect at the time of the dispute. The arbitration shall be conducted by a single arbitrator, shall be conducted in Wyoming or virtually (at the mutual convenience of the parties), and shall be conducted in the English language.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own attorneys' fees and costs unless the arbitrator determines otherwise.9.4 Class Action Waiver
YOU AND VERDICTA EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING OF ANY KIND. ALL DISPUTES MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY. If for any reason a claim proceeds in court rather than arbitration, you and Verdicta each waive any right to a jury trial.9.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.10. ACCOUNT AND ACCESS

You are responsible for maintaining the confidentiality of any access credentials provided to you and for all activity occurring under your account. You agree to notify us immediately at [email protected] of any unauthorized access or suspected breach. You may not transfer your account or subscription to another person or entity without our prior written consent.11. TERMINATION

You may cancel your subscription at any time as described in Section 3.3. Cancellation does not entitle you to any refund of prepaid fees except as expressly provided in Section 5.4.11.2 By Verdicta
We may terminate or suspend your access to the Products immediately, without prior notice or liability, if you breach any provision of these Terms, including but not limited to unauthorized sharing or resale of the Product. Upon termination, your license to use the Product ends immediately and you must cease all use.11.3 Survival
Sections 4.4 (Ownership), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 9 (Dispute Resolution), and all other provisions that by their nature should survive termination, shall survive.12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms at useverdicta.com and by email to your registered address at least fourteen (14) days before the changes take effect. Your continued use of the Products after the effective date of modified Terms constitutes acceptance of the new Terms.13. MISCELLANEOUS

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Verdicta regarding the Products and supersede all prior agreements, representations, or understandings.13.2 Severability
